1.Agreement to Terms
These Terms of Service (the “Terms”) are a legal agreement between you and Soniz (“Soniz,” “we,” “us,” or “our”) and govern your use of the Soniz browser extension for Google Chrome (the “Extension”), the website at soniz-ai.web.app (the “Site”), and any related features and subscriptions (together, the “Services”). Whenever you see “you” or “your,” it refers to the person using the Services.
By creating an account, installing the Extension, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2.Privacy Policy
Please refer to our Privacy Policy for information on how we collect, use and disclose information from our users. By using the Services, you acknowledge that you have read the Privacy Policy.
3.Changes to Terms or Services
We may update these Terms from time to time. If we do, we will update the “Last Updated” date above, and if a change is material we will notify you through the Services or by email before it takes effect. If you continue to use the Services after the updated Terms take effect, you agree to be bound by them; if you do not agree, you must stop using the Services. Because the Services are evolving, we may change, suspend or discontinue all or part of the Services at any time. If we discontinue a paid plan, we will refund the unused portion of any prepaid subscription period.
4.Who May Use the Services
Eligibility. You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the permission of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for any purchases. You may not use the Services if you have previously been removed from them by us, or where doing so is prohibited by law.
Your account. You need an account to use the Services. You may create one with an email address and password or by signing in with Google. You agree to provide accurate information and keep it up to date. Email accounts must be verified before use.
Account security. You are responsible for keeping your sign-in details confidential and for all activity that occurs under your account, whether or not you know about it. Notify us immediately of any unauthorized use of your account.
One account per person. Each account is for one person and may not be shared, sold or transferred. You may not create multiple accounts to get around usage limits or to obtain more than one free trial.
5.The Services
License. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Extension and use the Services for your own non-commercial study. We reserve all rights not expressly granted to you.
Plans and usage limits. The Services are offered on a free plan and paid plans, as described on our pricing page. Every plan includes a daily number of questions for each model, and paid plans also a monthly total, shown on the pricing page and in the extension. Daily counts reset at midnight UTC and monthly totals on the first day of each month (UTC). Every plan also has a fair-use safety limit measured by what answers cost to produce. It is set above normal use of the counts shown and is meant to stop unusual use, such as repeatedly sending very long texts or automated use; if you reach it, you may not be able to use all of a daily or monthly count. We may adjust plan features and limits to keep the Services sustainable and will update the pricing page when we do.
AI-generated answers. The Services use artificial intelligence to generate answers. Answers may be inaccurate, incomplete or outdated, and the same question may produce different answers. You are responsible for evaluating answers before relying on them. The Services do not provide professional, legal, medical or financial advice.
Academic integrity. Soniz is a study aid made to help you understand material. It is not intended for cheating, and you agree not to use it on graded exams, quizzes, assignments or other work where AI assistance is not permitted. You are solely responsible for complying with the academic integrity policies, honor codes and instructions of your school, instructors and exams, some of which prohibit the use of AI tools. We are not responsible for any academic consequences of your use of the Services.
6.Subscriptions, Billing and Free Trial
Paid plans. Paid plans are subscriptions billed in advance, monthly or yearly, through our payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the plan you choose, plus any applicable taxes.
Automatic renewal. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY at the end of each billing period for another period of the same length, at the then-current price, until you cancel. You can cancel at any time as described in Section 6(f).
Free trials. We offer two free trials of the Pro plan. (1) A 3-day trial without a payment method, once per person and once per computer. You will not be charged for it, and when it ends your account returns to the free plan automatically unless you choose to subscribe. (2) A trial with a payment method, once per person and once per payment card, that brings your free trial time to 7 days in total: 7 days if you have not had the 3-day trial, or 4 more days if you have (starting when your 3-day trial ends, or right away if it already has). UNLESS YOU CANCEL BEFORE THE TRIAL WITH A PAYMENT METHOD ENDS, IT TURNS INTO A PAID PRO SUBSCRIPTION AT THE MONTHLY PRICE SHOWN AT CHECKOUT, AND YOUR CARD IS CHARGED AT THE END OF THE TRIAL AND EACH MONTH AFTER THAT until you cancel. You can cancel the trial at any time from your account page; if you cancel before it ends, you will not be charged. During either trial, trial usage limits apply. We may refuse or end a trial that we reasonably believe is a repeat trial, for example one started with a new account on the same computer, the same email inbox or the same payment card, from a network that has already started several trials, or with a throwaway email address. The trial with a payment method requires a credit or debit card.
Price changes. We may change the price of a paid plan. We will notify you by email at least 30 days before a new price applies to your next renewal, and you may cancel before then.
Failed payments. If a payment fails, Stripe may retry it. If payment cannot be collected, your account will return to the free plan.
Cancellation. You can cancel your subscription at any time from your account page. When you cancel, you keep your paid plan until the end of the billing period you have already paid for, and you will not be charged again.
Refunds. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features. If you believe you were charged in error, for example after cancelling or more than once, contact us through our contact form or by email at sebastian.08ld@gmail.com within 30 days of the charge and we will correct it.
Taxes. Prices are shown in U.S. dollars and may not include taxes. You are responsible for any taxes that apply to your purchase.
Where paid plans are available. Paid plans are not yet offered to customers in the European Union, the European Economic Area or the United Kingdom. The free plan and the 3-day free trial are available everywhere; the 7-day trial with a card is not offered there, and one started with a billing address there is cancelled before any charge. If a subscription is bought with a billing address in one of those places, we will cancel it and refund the payment in full.
7.Your Content
“Content” means anything you submit to the Services, such as highlighted text, screenshots, images, page text and questions, and the answers generated for you. As between you and Soniz, you own your Content. You grant us a limited license to Process your Content only as needed to provide the Services to you, as described in our Privacy Policy. You represent that you have the rights needed to submit your Content and that it does not violate these Terms or the law.
8.Acceptable Use
You agree not to, and not to help anyone else to:
- use the Services in violation of any law or the rights of others;
- get around, disable or interfere with usage limits, plan restrictions, security features or the free-trial limit, including by creating multiple accounts;
- copy, modify, reverse engineer, decompile or create derivative works of the Services, except where the law expressly permits it;
- access the Services through automated means, scrape them, or place an unreasonable load on them;
- resell, sublicense or share access to the Services, or use them to build a competing product;
- submit Content that is unlawful, harmful, or infringes anyone’s rights, or use the Services to generate such content; or
- misrepresent your identity or your affiliation with any person or institution.
9.Intellectual Property
The Services, including the Extension, the Site, and all software, designs, text, graphics and logos we provide (excluding your Content), are owned by Soniz or its licensors and are protected by intellectual property laws. “Soniz” and our logos are our trademarks; you may not use them without our permission. If you send us feedback or suggestions, you allow us to use them without any obligation to you.
10.Third-Party Services
The Services work alongside, and link to, services operated by others, such as learning management systems, Google and Stripe. We do not control those services and are not responsible for them; your use of them is governed by their own terms. Soniz is an independent product and is not affiliated with, endorsed by, or sponsored by Instructure (Canvas), Google, or any school or institution. All third-party trademarks belong to their respective owners.
11.Termination
You may stop using the Services and delete your account at any time from your account page; deleting your account cancels any active subscription immediately. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if required by law, or to protect the Services or other users. Sections 7 and 9 through 18 survive any termination of these Terms.
12.Disclaimer of Warranties
THE SERVICES, INCLUDING ALL AI-GENERATED ANSWERS, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SONIZ DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY ANSWER WILL BE ACCURATE, COMPLETE OR SUITABLE FOR YOUR PURPOSE.
13.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SONIZ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR ACADEMIC STANDING, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR FIFTY U.S. DOLLARS ($50).
Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above may not apply to you.
14.Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Soniz from any claims, losses, liabilities and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms, your Content, or your misuse of the Services.
15.Dispute Resolution and Arbitration
Informal resolution first. Before starting a formal proceeding, you agree to contact us through our contact form or by email at sebastian.08ld@gmail.com with a description of your dispute, and to try to resolve it informally for at least 30 days.
Agreement to arbitrate. If a dispute is not resolved informally, you and Soniz agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration may be conducted by video conference or, if in person, in the county where you live. Judgment on the award may be entered in any court with jurisdiction.
Class action waiver. YOU AND SONIZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect its intellectual property rights.
Opting out. You may opt out of this arbitration agreement by notifying us through our contact form or by email at sebastian.08ld@gmail.com, with the subject “Arbitration Opt-Out” and the email address on your account, within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
Changes to this section. If we change this Section after you have accepted these Terms, the change will not apply to any dispute of which we had notice before the change took effect.
16.Governing Law
These Terms are governed by the Federal Arbitration Act and the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Subject to Section 15, any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Broward County, Florida, and you and Soniz consent to their jurisdiction. If you are a consumer living outside the United States, you also keep any protections given to you by the mandatory laws of your country.
17.General Terms
Entire agreement. These Terms, together with our Privacy Policy and any terms presented to you when you purchase a plan, are the entire agreement between you and Soniz about the Services.
Severability. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent possible and the remaining provisions will stay in full effect.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
Electronic communications. You agree that we may communicate with you electronically, including by email and through the Services, and that such communications satisfy any legal requirement that they be in writing.
Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of third-party services.
Chrome Web Store. Your download and use of the Extension is also subject to the terms of the Chrome Web Store.
